The Indian Institute of Corporate Affairs' Independent Directors' Databank is the regulator-recognised registry from which most public companies recruit independent directors. The online proficiency self-assessment — the “IICA test” — has been live since 2019 and has progressively expanded its exemption categories. The framework
- Every individual on a public company board as an independent director must be included in the IICA databank.
- Within one year of inclusion (or such time as prescribed), the individual must pass the proficiency self-assessment, unless exempt.
- Failure to comply by the deadline disqualifies continued holding of the ID position.
The exemptions — broader than people remember
The Companies (Appointment and Qualification of Directors) Rules, amended through 2020-22, exempt the following categories from the mandatory proficiency self-assessment:
- Individuals who have served at least 3 years as director or KMP in a listed entity, or 5 years in an unlisted public company with ≥ ₹500 crore turnover.
- Individuals who have served in senior positions in central government, state government, regulatory bodies, or PSUs (specified levels).
- Individuals with specified academic qualifications and teaching/research experience (specified institutions, levels).
- Specified other professional service exemptions.
The CS should run the exemption check at the time of induction; if exempt, no test needed.
The registration cycle
- New ID candidate registers on the IICA databank, providing professional history, qualification, current and previous board roles.
- The databank profile is reviewed and approved.
- For non-exempt candidates: online proficiency self-assessment within the prescribed window.
- The exam covers Indian company law, corporate governance, securities law, ethics, risk management, board functioning.
- Pass mark and structure as prescribed; multiple attempts permitted.
- Successful candidates' status is recorded in the databank.
- Annual renewal — databank registration must be kept current.
The CS role at induction
- Confirm IICA registration before the appointment is finalised.
- Confirm exemption status (or test passage status).
- Build the one-year proficiency-test deadline into the induction file.
- Periodic check on annual renewal currency.
- Communicate cleanly with the ID — many busy senior professionals genuinely forget the renewal cycle.

The IICA databank is one of the cleanest pools of credible ID candidates in India. Most companies still recruit IDs through personal networks. The companies that have started using the databank as a structured search — sector, functional skill, seniority — are reporting better induction outcomes.
